Terms of Service

1. The Service

Corviq is a SaaS accountability platform for digital marketing agencies. It connects to advertising and e-commerce platforms via read-only OAuth, retrieves campaign and performance data, and surfaces AI-generated monitoring signals, anomaly alerts, budget pacing analysis, and reporting tools to help agency teams manage client accounts more effectively.

The Service is provided on a subscription basis as described in Section 3. Features vary by plan tier. We reserve the right to modify, add, or remove features with reasonable notice.

2. Eligibility and Account Registration

• You must be at least 18 years old and capable of entering a legally binding agreement to use the Service.
• The Service is intended for business use by marketing agencies and their authorized personnel. Consumer use is not permitted.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at security@corviq.ai if you suspect unauthorized access.
• You may not create accounts for bots, automated agents, or competitive intelligence purposes without our express written consent.

3. Subscriptions and Billing

3.1 Plans and fees

Corviq offers subscription plans with fees as published on our Pricing page. Prices are in USD unless otherwise stated and exclude applicable taxes. You authorize us to charge your payment method on a recurring basis according to your selected billing cycle (monthly or annual).

3.2 Trials

We may offer a free trial period. If we require a payment method to start a trial, we will notify you before any charge and you may cancel before the trial ends without being charged.

3.3 Renewals and cancellation

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. Cancellation takes effect at the end of the current paid period; we do not prorate partial months on cancellation. Annual subscriptions are non-refundable after 14 days from purchase.

3.4 Late payment and suspension

If payment fails, we will notify you and attempt to recharge on days 3 and 7. If payment remains outstanding after 14 days, we may suspend or terminate your account. You remain responsible for all fees accrued prior to suspension.

3.5 Price changes

We will provide at least 30 days’ notice before increasing subscription prices for existing customers. Price changes take effect at the next renewal after the notice period.

4. Acceptable Use

You agree not to:

• Use the Service to violate any applicable law, regulation, or the terms of service of any connected platform (Google, Meta, Shopify, etc.).
• Attempt to gain unauthorized access to any portion of the Service, other accounts, or Corviq’s infrastructure.
• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service.
• Use the Service to store or transmit malicious code, or to interfere with the Service’s availability for other users.
• Resell, sublicence, or white-label the Service without our express written permission.
• Use the Service or the AI-generated outputs to make decisions that could cause harm to individuals without appropriate human oversight.
• Share your account credentials with individuals outside your agency organization. Team seats must be purchased for additional users.

We may suspend or terminate access for violations of these terms at our discretion, with or without notice depending on severity.

5. Data Ownership and Licence

5.1 Your data

You retain full ownership of all data you submit to the Service and all data retrieved from connected platforms on your behalf (“Customer Data”). You grant Corviq a limited, non-exclusive licence to store, process, and display Customer Data solely to provide and improve the Service to you.

5.2 No data sale or cross-customer use

We do not sell Customer Data. We do not use Customer Data from one account to train AI models deployed to other customers, or for any purpose other than providing the Service to you.

5.3 Aggregate analytics

We may use anonymized, aggregated statistics derived from usage of the Service (e.g., average platform connection rates, feature adoption) to improve our products and for marketing purposes. No individual account or client is identifiable from such aggregate data.

5.4 Data portability on termination

Upon request made within 30 days of termination, we will provide you with an export of your Customer Data in a standard machine-readable format. After that window, we may delete the data per our retention policy.

6. Third-Party Platform Integrations

Corviq connects to third-party platforms (including Google Ads, Meta Ads Manager, Shopify, and others) on your behalf. You are responsible for ensuring that:

• You have the authority to grant Corviq access to each platform account you connect.
• Your use of connected platform data through Corviq complies with that platform’s own terms of service and data policies.
• Your clients have consented, where required, to your agency monitoring their platform accounts using third-party tools.

Corviq is not responsible for the availability, accuracy, or actions of third-party platforms. Changes to a platform’s API or policies may temporarily or permanently affect Corviq features that depend on that platform.

7. AI-Generated Insights Disclaimer

• AI Insights do not constitute financial, legal, or professional advice. All decisions about client campaigns, budgets, and strategies remain the responsibility of your agency and its human professionals.
• Corviq is an accountability and monitoring tool. It does not automatically act on, pause, modify, or create campaigns unless a specific write-enabled feature has been explicitly enabled and authorized by you.
• Alert thresholds, scoring models, and AI outputs may change as we improve the platform. We are not liable for decisions made in reliance on AI Insights that later prove to be inaccurate.

8. Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, and AI models, is the intellectual property of Digital ByteTeck Consulting Inc. and is protected by Canadian and international copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to Corviq’s intellectual property except the limited licence to use the Service as described herein.

“Corviq” and the Corviq logo are trademarks of Digital ByteTeck Consulting Inc.. You may not use our trademarks without prior written permission.

9. Confidentiality

Each party may disclose confidential information to the other in connection with the Service. “Confidential Information” means any non-public information marked as confidential or that reasonably should be understood to be confidential given the nature and circumstances of disclosure. Each party agrees to protect the other’s Confidential Information using at least the same degree of care it uses for its own confidential information, and not to disclose it to third parties without prior written consent, except as required by law.

Customer Data is your Confidential Information. Corviq’s product roadmap, pricing structures, and non-public feature capabilities are Corviq’s Confidential Information.

10. Warranties and Disclaimers

Corviq warrants that it will provide the Service with reasonable skill and care, and will maintain commercially reasonable security practices.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CORVIQ DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT AI-GENERATED INSIGHTS WILL BE ACCURATE OR COMPLETE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CORVIQ OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO CORVIQ IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Corviq and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or third-party right; (c) your Customer Data; or (d) your agency’s relationship with its end clients.

13. Term and Termination

These Terms are effective when you accept them and continue until your subscription is terminated.

• By you: you may cancel your subscription at any time through your account settings. Access continues until the end of the paid period.
• By Corviq for cause: we may terminate or suspend your access immediately if you breach these Terms, particularly Sections 4 (Acceptable Use) or 6 (Integrations), or if we are required to do so by law.
• By Corviq without cause: we may terminate these Terms with 30 days’ written notice. In this case, we will provide a pro-rated refund for any unused subscription period.

Upon termination, your right to use the Service ceases. Sections 5 (Data Ownership), 7 (AI Disclaimer), 8 (IP), 9 (Confidentiality), 10 (Warranties), 11 (Liability), 12 (Indemnification), and 14 (Governing Law) survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms that cannot be resolved by good-faith negotiation will be submitted to binding arbitration in Mississauga, Ontario, administered under the applicable rules of the ADR Institute of Canada. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Ontario to protect intellectual property or confidential information.

If you are a consumer in a jurisdiction where mandatory consumer protection laws apply, nothing in this section limits your rights under those laws.

15. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 14 days’ notice via email or a prominent notice in the platform before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before they take effect.
